1. Acceptance of Terms

By accessing our website or engaging the services of Enter Design ("the Agency"), you agree to be bound by these Terms of Service and all applicable laws and regulations in the Province of New Brunswick and the federal laws of Canada.

2. Services and Performance

The Agency provides digital marketing services, including but not limited to SEO, social media management, and paid advertising. All services are provided on an "as-is" and "as-available" basis. We do not guarantee specific returns on investment (ROI), search engine rankings, or lead volumes, as these are subject to third-party platform algorithms beyond our control.

3. Payment Terms

Invoicing: Invoices are issued monthly and are due within thirty (30) days of the invoice date ("Net 30").

Late Payments: Overdue balances are subject to a late fee of 1.5% per month (18% per annum). We reserve the right to suspend services if an account is more than fifteen (15) days past due.

Taxes: All fees are exclusive of applicable taxes. Canadian clients will be charged the appropriate provincial taxes (e.g., 15% HST for New Brunswick residents).

4. Intellectual Property (IP)

Client Materials: You retain ownership of all logos, trademarks, and proprietary data provided to us. You warrant that you have the right to use these materials and will indemnify the Agency against any third-party IP claims.

Agency Work Product: Strategic plans, proprietary code, and campaign templates developed by the Agency remain our intellectual property. Upon full payment of all fees, the Client is granted a non-exclusive, perpetual license to use the final deliverables for their intended business purpose.

5. Limitation of Liability

To the maximum extent permitted by New Brunswick law, the Agency’s total cumulative liability for any claim arising out of these terms shall not exceed the lesser of:

The total fees paid by the Client in the three (3) months preceding the claim; or

$5,000 CAD. We are not liable for any indirect, incidental, or consequential damages, including loss of profits or data.

6. Termination

Either party may terminate a service agreement for convenience with thirty (30) days' written notice. Upon termination, the Client must pay for all work performed up to the termination date. The Agency will transfer administrative control of third-party advertising accounts (e.g., Google Ads) to the Client within ninety (90) business days of final payment.

7. Consumer Protection (New Brunswick)

In accordance with the New Brunswick Consumer Protection Act, for all Internet-based agreements, the Agency will provide a written copy of the contract via email within fifteen (15) days of the agreement date. Clients have specific cancellation rights if mandatory disclosures are not met.

8. Governing Law

These terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada. Any legal proceedings shall be conducted exclusively in the courts located in Fredericton, New Brunswick.
